Objective The institutional frontiers and banking contracts of the Banking Law have a widespread application area. Corporate governance principles have given the bank entity a new face. The aim is to examine the effects of corporate governance principles on the structuring and activities of banks and to analyze the key contract types in banking practice.
Content Fundamental principles of banking law; Foundation and winding-up of banking institutions; Corporate governance principles I; Corporate governance principles II; Management structure of the credit institutions; Audit committee; General Assembly and Amendments Regarding AOA; Internal Audit and Control Systems; Concept of Credit and Related Limitations; Contracts of Credit; Contract of Deposit; Acquisitions of Real Property and Affiliates of Banks; Financial Structure of Banks; Ordinary Measurements.
Course Learning Outcomes is to get the students familiar with a peculiar aspect of Economic Law consecrated to financial institutions; providing students a specified concept over the rules binding the bank entity in its fondation, management, supervision and dissolution. In addition to the institutional structure of the bank, obtaining a certain level of information about the transactions is also included in the purpose of the course.
